United Rentals filed a shelf registration and a preliminary debt prospectus Friday, Oct. 23, with its subsidiary modeling a $2 billion note issue that would help repay $975 million in term-loan principal. The shelf covers possible future sales of common and preferred stock and warrants by United Rentals. It also allows United Rentals (North America), Inc. to issue senior, senior subordinated or subordinated debt guaranteed by the parent company. The filing sets no dollar amount for any future sale. A separate preliminary prospectus outlines senior notes with maturities in 2029, 2031 and 2036.
