tZERO plans to go public through a merger with FG Imperii Acquisition Corp. (FGII), valuing the tokenized securities platform at $350 million and targeting an early 2027 NYSE American listing. FGII’s trust account could provide the combined company with up to $231 million. That is a maximum, not a guaranteed payment: the amount available will depend on shareholder redemptions and transaction expenses. The $350 million amount is tZERO’s proposed valuation, while the trust-account funds would be available to the combined business. The two numbers describe separate parts of the deal.
