Omron Corporation has agreed to acquire Interlogic, Inc., the Vermont-based parent of industrial-computer maker OnLogic, Inc., for $675 million in cash as it expands its manufacturing-site digital transformation and physical AI operations. The transaction values Interlogic on a debt-free, cash-free enterprise-value basis. Omron plans to fund it primarily with existing cash and will take full ownership of Interlogic, which will become a consolidated subsidiary after closing. The deal is structured as a reverse triangular merger involving a Delaware special-purpose company, with Interlogic remaining the surviving entity.
