CrowdStrike Urges Rejection of Tutanota’s $260 Mini-Tender Offer

CrowdStrike urged stockholders to reject Tutanota LLC’s unsolicited mini-tender offer for up to 500,000 shares at $260 each, saying a condition could leave participants selling below the market price. The offer covers less than 0.05% of CrowdStrike’s outstanding common stock and is currently expected to expire at 5 p.m. ET on Oct. 19, 2026. One condition requires CrowdStrike’s closing share price to exceed $260 on the final trading day before expiration. Unless Tutanota waives that condition, CrowdStrike said participating stockholders could receive less than the market price.
